Terms and Conditions of Sale
These Terms and Conditions of Sale (the “Terms”) govern every quotation, order and sale of goods made through steeljewelrymfg.com. By applying for a trade account or placing an order you accept these Terms. We sell to businesses only; we do not sell to consumers.
Last updated: October 2026
1. Who we are
The seller is Dongguan Yilumei Jewelry Co., Ltd. (东莞市伊露美饰品有限公司), a limited liability company registered in Dongguan, Guangdong Province, the People's Republic of China (Unified Social Credit Code 914419003042773167), trading as YILUMEI (“we”, “us”, “our”). Our business address is Room 101, No. 1, Dongfang 2nd Lane, Huaide New Village, Humen Town, Dongguan, Guangdong Province, China. You can reach us at wholesale@steeljewelrymfg.com.
Our goods are dispatched from our warehouse in China. Where these Terms refer to “you”, they mean the business that holds the trade account and places the order, including anyone acting on its behalf.
2. Trade customers only
We sell exclusively to companies, sole traders and other businesses that buy for resale or for use in their own business. By applying for an account you confirm that you are acting in the course of a business and not as a consumer, and that the person applying is authorized to bind that business.
We may ask for evidence of your business status (for example a business registration, resale certificate or tax identification number) before approving an account or releasing an order, and we may refuse, suspend or close an account at our discretion. Consumer-protection rules that apply only to consumers, including any statutory right to cancel a distance purchase, do not apply to sales under these Terms.
3. Orders and contract formation
Products shown on the website are an invitation to order, not a binding offer. An order placed through your account is your offer to buy. We will send you an order confirmation by email; the amount due and our bank details are shown in that email and on your order page. A binding contract is formed when we accept your order, which we do by confirming in writing that your payment has been received or by shipping the goods, whichever comes first; until then we may decline any order or part of an order without giving a reason.
The minimum order value is the amount displayed in your cart at checkout. If a product, price or description on the website contains an obvious error, we may cancel the affected part of the order and refund any amount paid for it.
4. Prices
All prices are quoted in US dollars (USD) and are net prices: they exclude sales tax, VAT, customs duties, import taxes, bank charges and shipping. Shipping costs are calculated at checkout and shown separately before you place the order. Volume discounts, where offered, are shown on the product page and applied in the cart.
We may change our prices at any time. Price changes do not affect orders that we have already confirmed.
5. Payment
We accept payment by bank transfer in advance only. The amount due and our bank details are shown in the order confirmation email and on your order page. When you place an order we reserve the goods for you until the payment deadline shown on your order page; if the full amount has not reached our account by that date, the order is canceled and the goods return to stock. Please quote the order number with your transfer.
You bear all bank charges, intermediary-bank fees and currency-conversion costs so that we receive the full invoiced amount in USD. Goods are dispatched only after the funds have cleared. We do not offer credit terms unless agreed with you in writing. We may carry out identity, sanctions and fraud checks before accepting payment and may return funds that fail those checks.
6. Shipping, delivery and risk
Goods are shipped from China by international courier or freight carrier to the delivery address on your order. Delivery times shown on the website or quoted by email are estimates provided by the carrier; they are not guaranteed and are not of the essence of the contract. Customs inspections, carrier delays and events outside our control may extend them.
Unless we agree otherwise in writing, goods are sold DAP (Delivered at Place), Incoterms 2020, to the delivery address on the order: we arrange and pay for carriage to that address, and risk of loss or damage passes to you when the goods are made available for unloading there. You are responsible for providing a complete and accurate delivery address, for being available to receive the goods and for any costs caused by a failed delivery, refused delivery or return to origin. We may make partial shipments, and we will give you tracking details for each shipment.
7. Import duties, taxes and compliance
You are the importer of record in the destination country. You are responsible for all customs duties, import VAT, GST, sales tax, customs brokerage and any other charges levied on import, and for obtaining any license or registration needed to import the goods. We provide a commercial invoice and packing list with the shipment; HS classification and the declared origin of the goods are stated there.
Unless stated otherwise, the goods are of Chinese origin. You are responsible for ensuring that the goods, their labeling and the way you market them comply with the laws of the country where you import and sell them, including product-safety, chemical, country-of-origin marking and consumer-information rules applicable to jewelry (for example nickel-release limits in the European Union, or California Proposition 65 in the United States). On request we will provide the product information we hold to help you with this.
8. Inspection, shortages and transit damage
Please inspect each delivery on receipt. Notify us of any shortage, wrong item or transit damage within 7 days of delivery, quoting the order number and attaching photographs of the goods and the packaging. Keep the packaging until the claim is settled. Where a claim is justified we will, at our option, replace the goods, issue a credit or refund the price paid for the affected items. Deliveries not reported within this period are deemed accepted in full, except for defects that could not reasonably be discovered on inspection.
9. Defective goods and returns
Because we sell to businesses only, we do not accept returns for change of mind, overstock or slow sales. If goods have a manufacturing defect, notify us within 30 days of delivery with photographs and the order number. If the defect is confirmed we will, at our option, replace the goods, issue a credit or refund the price paid for them, and we will tell you whether and how to return the affected items. Do not return goods without our written authorization; unauthorized returns may be refused and returned at your cost.
Normal wear, scratches, discoloration or damage caused by misuse, alteration, contact with chemicals or incorrect storage are not defects.
10. Product information
We describe our products, their materials and finishes as accurately as we can. Photographs are for illustration; slight differences in color, plating tone, stone shade, size or weight between batches are normal for fashion jewelry and are not defects. Specifications may change without notice where this does not materially affect the product.
Product information is provided to help you buy; it is not a guarantee that the goods are suitable for a particular purpose or market. You are responsible for the claims you make to your own customers about the goods.
11. Warranties and disclaimer
We warrant that, at the time of delivery, the goods conform to their description on the order confirmation and are free from manufacturing defects. Your sole remedy for a breach of this warranty is set out in sections 8 and 9.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE GOODS ARE SOLD WITHOUT ANY OTHER WARRANTY, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ALL WARRANTIES, CONDITIONS AND OTHER TERMS IMPLIED BY STATUTE, COMMON LAW OR OTHERWISE ARE EXCLUDED, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, MERCHANTABLE OR SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFIT, REVENUE, BUSINESS, GOODWILL OR DATA, ARISING OUT OF OR IN CONNECTION WITH AN ORDER OR THESE TERMS, HOWEVER CAUSED. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO AN ORDER SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THAT ORDER.
Nothing in these Terms excludes or limits liability for fraud, for willful misconduct, or for any other liability that cannot be excluded or limited under applicable law.
13. Intellectual property
All designs, product photographs, texts, trade names and logos on the website belong to us or our licensors. While you hold an active account and for goods you have bought from us, we grant you a non-exclusive, revocable license to use our product photographs and descriptions to offer those goods for resale. You may not use the YILUMEI name or logo in a way that suggests we endorse your business, and you may not copy the website or its content for any other purpose.
14. Cancellation
You may cancel an order free of charge at any time before payment. After payment and before dispatch, you may ask us to cancel; if we agree, we will refund the amount received less any bank charges we incurred. Once goods have been dispatched the order cannot be canceled; sections 8 and 9 then apply.
15. Events outside our control
We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including natural disasters, epidemics, war, strikes, carrier or customs delays, export or import restrictions, shortages of materials, or failures of utilities or telecommunications. If such an event lasts more than 60 days either party may cancel the affected order and we will refund any amount paid for goods not delivered.
16. Your account
Keep your login details confidential and tell us at once if you suspect unauthorized use. You are responsible for orders placed through your account. We may suspend or close an account that is used in breach of these Terms, for fraudulent activity, or that has remained inactive for an extended period.
17. Governing law and disputes
These Terms and every order are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The parties will first try to resolve any dispute in good faith by negotiation. Any dispute that is not settled within 30 days shall be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted; the seat of arbitration shall be Hong Kong, the arbitral tribunal shall consist of one arbitrator, the language of the arbitration shall be English, and the award shall be final and binding on both parties. Nothing in this section prevents us from seeking payment of undisputed sums or interim relief in any court of competent jurisdiction.
18. General
These Terms and the order confirmation form the entire agreement between us for an order and replace any other terms, including terms printed on your purchase order. If any provision is held invalid, the rest remains in force. A failure to enforce a provision is not a waiver. You may not assign an order without our written consent. Notices may be given by email to the address on your account. Where a translation of these Terms is provided, the English text prevails.
We may update these Terms from time to time. The version in force when you place an order applies to that order. This version is b2b-us-v1, updated October 2026.
